1. Agreeing to these terms

cardmi is an app and website that turns photos into collectible trading cards ("cardmi", the "Service"). In these Terms, "we", "us" and "our" mean the operator of cardmi.

By downloading, opening or using the cardmi app, or using cardmi.app, you agree to these Terms of Service (the "Terms") and to our Privacy Policy, which explains how we handle your information. If you don't agree, don't use cardmi.

These Terms are a legal agreement between you and us. Some features have extra rules shown in the app (for example, the odds shown before a reroll, or the notes on a purchase screen); those are part of these Terms too.

Guests

You can make and share cards without signing in. As a guest, cardmi gives your install a private, anonymous account so your coins and purchases work. A guest's cards are stored only on that phone: if you delete the app or lose the phone before signing in, they can't be recovered. Friends, gifts and trades need a signed-in account.

cardmi is built around photos of real people, so this section matters most.

5. Your cards and the rights you give us

What you own

You keep whatever rights you have in your photos and in the text you write (names, quotes, written abilities and attacks, gift notes) ("Your Content"). The card frames, badges, stickers, backgrounds, fonts, foils, word banks and other parts of a card that come from cardmi stay ours (see section 14); a finished card combines Your Content with ours.

The licence you give us

So that cardmi can work, you give us a worldwide, non-exclusive, royalty-free licence, with the right to let our service providers do the same on our behalf, to host, store, copy, process, adapt (for example to draw an AI style, cut you out of a photo, resize or compress), display and send Your Content, only to run, protect and improve cardmi. This includes: backing up your cards, drawing AI styles, delivering gifts and trades, showing your cards to friends, running safety checks, reviewing reports, and keeping records the law requires.

This licence ends when you delete the content or your account, except: (a) copies you gifted or traded to other players stay with them; (b) we may keep content for as long as needed for safety reviews, legal obligations or legal claims, as the Privacy Policy explains; and (c) copies may remain in backups for a limited time.

We won't use your photos or cards in our advertising without asking you first, and we don't sell them.

Your promises about Your Content

You promise that you have all the rights and permissions needed for Your Content, that it follows these Terms and the law, and that our use of it as these Terms allow won't infringe anyone's rights, including copyright, trademark, privacy and publicity rights (the right to control the use of your own name and face).

We don't have to keep or show it

We may (but don't have to) review, filter, hide or remove any content at any time. We aren't responsible for keeping copies of Your Content: save the pictures you care about to Photos.

We may change prices, what coins can be spent on, the free features, and the contents of the shop at any time. Changes don't affect what you already bought: packs you own stay yours for as long as cardmi and your account exist, and coins you already have keep working.

We respect copyright and expect players to do the same. If you believe something on cardmi infringes your copyright, send a notice to our designated agent with: your signature (typing your full name counts); a description of the work you say is infringed; where the material is on cardmi (a card link, @handle or screenshot); your contact details; a statement that you believe in good faith the use isn't authorised by you, your agent or the law; and a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorised to act for the owner.

Send copyright notices to report@cardmi.app with the subject "Copyright notice".

If your content was removed and you believe it was a mistake or you had permission, you can send a counter-notice to the same address with the details the law (17 U.S.C. § 512(g)) requires. We close the accounts of repeat infringers in appropriate circumstances. Knowingly false notices can make you liable for damages.

15. Other companies' services

cardmi relies on other companies (such as Apple, Google Firebase, OpenAI and RevenueCat) and lets you share to apps like TikTok, Instagram and Facebook. We aren't responsible for those services, their availability, their content, or how they handle your information; their own terms and policies apply. Links to other websites are for convenience only.

18. No warranties

To the fullest extent the law allows, cardmi is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. We don't promise that cardmi will be uninterrupted, secure, error-free or free of viruses, that your content or cards will be kept or never lost, that AI results will be accurate, appropriate or to your liking, or that other players will follow these Terms. You use cardmi at your own risk.

Some places don't allow some of these exclusions, so some of them may not apply to you. Nothing in these Terms limits rights you have that can't be limited by contract.

19. Limits on our liability

To the fullest extent the law allows: (a) we, our owners, team members, contractors and service providers won't be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, data, content, goodwill, Virtual Items or cards, or for any damage caused by other players, other companies' services, content you or others create, or unauthorised access to your account, even if we were told they were possible; and (b) our total liability to you for all claims relating to cardmi or these Terms is limited to the greater of the amount you paid us for cardmi in the 12 months before the event giving rise to the claim, or US $50.

These limits apply whatever the legal theory (contract, tort including negligence, or anything else), and even if a remedy fails of its essential purpose. They don't limit liability for gross negligence, fraud, intentional misconduct, death or personal injury caused by our negligence, or anything else that can't be limited by law.

20. Your responsibility for claims

To the extent the law allows, you agree to defend, indemnify and hold harmless us and our owners, team members, contractors and service providers from any claims, damages, losses, costs and expenses (including reasonable lawyers' fees) arising from: Your Content (including any claim by a person shown in your photos or cards); your use or misuse of cardmi; your breaking these Terms or the law; or your violating anyone's rights, including privacy and publicity rights. We may take over the defence of any such claim, and you'll cooperate with us.

21. Disputes: arbitration and class-action waiver

Please read this section carefully. It affects your rights, including your right to go to court.

Talk to us first

Most problems can be solved quickly. Before starting any formal claim, email hello@cardmi.app with your name, the email or @handle on your account, a description of the problem and what you'd like us to do. We'll both try in good faith to resolve it within 60 days. Any time limit for bringing a claim is paused during those 60 days.

Binding arbitration

If we can't resolve it, you and we agree that any dispute, claim or controversy arising from or relating to cardmi or these Terms (including whether this section applies) will be resolved by binding individual arbitration, not in court, except as described below. The Federal Arbitration Act governs this section. The arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (adr.org), by a single arbitrator. It may be done by video, phone or written submissions, and if a hearing is needed in person it will be in the county where you live. Payment of filing and arbitrator fees follows the AAA's consumer rules; we'll pay any fees above what you would pay to file in court. The arbitrator may award the same individual relief a court could, and their decision can be entered in any court with jurisdiction.

Exceptions

Class-action waiver

You and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine more than one person's claims or preside over any form of class or representative proceeding.

If this class-action waiver is found unenforceable for a claim, that claim (and only that claim) will be heard in court, not in arbitration.

Many similar claims

If 25 or more similar claims are brought against us by or with the help of the same lawyers or organisations, the AAA's mass arbitration rules will apply, and the claims may be decided in batches, to keep costs fair for everyone.

Opting out

You can opt out of this arbitration agreement within 30 days of first accepting these Terms, by emailing hello@cardmi.app with the subject "Arbitration opt-out" and your name and the email or @handle on your account. Opting out doesn't affect anything else in these Terms. If you opt out, or if this section doesn't apply, disputes will be decided in the courts described in section 23.

Time limit

To the extent the law allows, any claim must be started within one year after it arises, or it's permanently barred.
